End User License Agreement
This End User License Agreement ("EULA") is a legal agreement between you ("you" or "Licensee") and Jared Veltkamp, doing business as LOWRaudio ("LOWRaudio," "we," "us," or "our"), for the LOWRaudio software products, including LOWR Synth Bass, together with their presets, samples, documentation, and updates (collectively, the "Software"). By downloading, installing, or using the Software, you agree to this EULA. If you do not agree, do not install or use the Software.
1. License grant
Subject to your payment and ongoing compliance with this EULA, LOWRaudio grants you a non-exclusive, non-transferable, revocable license to install and use the Software for your own music production — whether personal or commercial — as follows:
- Each purchase of LOWR Synth Bass includes 3 licenses (seats), allowing you to install and activate the Software on up to three (3) devices that you own or control.
- You may make a reasonable number of backup copies of the Software for archival purposes.
- The license is granted to a single individual or single legal entity. Seats may not be split among multiple unrelated users.
2. Ownership of your music
You own the music you create using the Software. The audio output, including music made using the factory presets and any presets you create, is yours to use commercially with no additional royalty or fee owed to LOWRaudio.
3. Restrictions
You may not:
- sell, rent, lease, lend, sublicense, distribute, or otherwise transfer the Software or your license keys, except as allowed in the "Transfers" section below;
- share your license keys or installer with anyone else, or activate the Software on more devices than your license permits;
- reverse engineer, decompile, or disassemble the Software, or attempt to derive its source code, except to the extent this restriction is prohibited by applicable law;
- remove or alter any copyright, trademark, or other proprietary notices;
- redistribute the factory presets or samples as part of a competing sample library, sound pack, or sound-design product, whether free or paid; or
- use the Software to develop a product that competes with the Software.
4. Presets & sample content
The factory presets and any sample content are licensed, not sold, and remain the property of LOWRaudio. You may use them to create music. Presets you design yourself within the Software are yours to use and share, provided you do not distribute them in a way that exposes or repackages LOWRaudio's underlying factory content as standalone content.
5. Updates
Your purchase includes free updates to the Software as described on our website at the time of purchase. Updates are provided under this EULA unless accompanied by separate terms. We are not obligated to provide any particular update, feature, or ongoing support.
6. Transfers
You may permanently transfer your entire license to another person only if you (a) transfer all seats and stop using the Software yourself, (b) remove all copies from your devices, and (c) obtain our prior written approval and complete any transfer process we require. Educational or discounted licenses may be non-transferable.
7. Intellectual property
The Software is licensed, not sold. LOWRaudio and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. All rights not expressly granted to you are reserved.
8. Term & termination
This EULA is effective until terminated. It terminates automatically if you breach any of its terms. On termination you must stop using the Software and delete all copies. Sections that by their nature should survive termination (including ownership, restrictions, disclaimers, and limitation of liability) will survive.
9. Disclaimer of warranties
The Software is provided "as is" and "as available," without warranty of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. You assume all risk arising from your use of the Software, including any effect on your projects, data, or equipment.
10. Limitation of liability
To the maximum extent permitted by law, LOWRaudio will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill, arising from your use of or inability to use the Software. Our total liability under this EULA will not exceed the amount you paid for the Software. These limits do not affect the statutory rights of consumers and do not exclude liability that cannot be excluded by law.
11. Governing law
This EULA is governed by the laws of the State of California, United States, without regard to its conflict-of-laws rules, except where mandatory consumer-protection law in your country of residence applies.
